Terms of Service

SLATES provides some or all of the following services, as agreed with each Client: website design and development, Google Business Profile setup and management, search engine optimization (SEO), and a basic customer relationship management (CRM) tool. The specific scope of Services for your engagement will be described in a quote, invoice, proposal, or statement of work.

SLATES Services are priced based on each Client’s specific needs and may include one-time project fees, an ongoing monthly maintenance fee, or a combination of both. Pricing, payment schedule, and scope for your engagement will be provided in writing before work begins.

Ongoing monthly services (such as hosting, website maintenance, or continued SEO/CRM support) bill on a recurring monthly basis and continue until cancelled by either party as described in Section 8 below.

You are responsible for providing accurate business information and for ensuring you have the right to use any content, photos, logos, or other materials you provide to us for your website, Google Business Profile, or marketing materials.

If you use the SLATES CRM to store information about your own clients, leads, or customers, you are responsible for complying with applicable laws regarding the collection, storage, and use of that data, including any applicable marketing or communications laws (such as the CAN-SPAM Act or the Telephone Consumer Protection Act) if you use CRM data to contact your clients or leads.

Invoices are due upon the terms stated on the invoice or proposal. One-time projects may require a deposit before work begins, with the balance due upon completion. Monthly maintenance fees are billed in advance each billing cycle. Late payments may result in pause of services until payment is received.

Upon full payment for a website project, ownership of the final delivered website content and design created specifically for you transfers to you, except for any underlying templates, frameworks, tools, or the SLATES CRM platform itself, which remain the property of ROQ Innovation LLC.

You grant us a limited license to use your business name, logo, and provided materials solely as needed to perform the Services.

SEO and Google Business Profile work is performed using good-faith, industry-standard practices. We do not guarantee specific search rankings, traffic levels, or lead volume, as these are influenced by factors outside our control, including changes to third-party platforms and search engine algorithms.

The SLATES CRM is provided as a tool to help you manage your own business contacts and leads. We are not responsible for how you use the CRM to communicate with your contacts, and you agree to use it in compliance with applicable law.

One-time projects conclude upon delivery and final payment. Ongoing monthly services continue until either party provides written notice of cancellation, effective at the end of the then-current billing cycle. We reserve the right to suspend or terminate Services for non-payment or misuse.

SLATES Services are provided “as is” without warranties of any kind. We do not guarantee that any website, hosting, or CRM tool will be error-free or uninterrupted.

To the maximum extent permitted by law, ROQ Innovation LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of SLATES Services. Our total liability to you shall not exceed the amount you paid us in the 12 months preceding the claim.

These Terms are governed by the laws of the State of Kansas. Any disputes shall be resolved in the courts of Shawnee County, Kansas.

We may update these Terms from time to time. We will notify active Clients of material changes. Continued use of Services after changes are posted constitutes acceptance of the updated Terms.
